Terms and Conditions

These Terms and Conditions, together with our Privacy Policy and any other written information we brought to your attention before we confirmed your booking, apply to your booking transacted through Ripe Incorporated, and the lodging provider (“Hotel”) you selected. Ripe provides certain e-commerce services for travel related bookings on behalf of our publisher’s websites (collectively the “Site,” “Website”, or “Service”).

The term “you” refers to the user using, visiting, or accessing the Website, or accessing the Website through our customer service agents, as well as all persons on whose behalf a booking is made, or any other person to whom a booking is added or transferred. The term “booking” refers to your hotel reservation and any related Products you may have selected at check out. The term “Products” refers to any additions you may have selected at the time of booking, such as tickets, rentals, etc.

By accessing, browsing and using this site, you acknowledge that you have read, understood and agree to comply with the Terms and Conditions stated herein and you agree to be bound by these terms. Ripe may at any time modify these Terms and Conditions, and your continued use of this site will be conditioned upon the Terms and Conditions in force at the time of your use.

Data Protection and Privacy

Your privacy is important to us. Please see our Privacy Policy for full information regarding the way in which we use and store your personal data, and the choices you can make about the way your information is collected and used.

Your Contract

Ripe acts as a booking agent for the hotel it books on your behalf. When you make a booking, you are entering into a contract with the hotel via Ripe, not with Ripe itself. As an agent we accept no responsibility for the acts or omissions of the hotel or for the services provided by the hotel. The hotel’s terms & conditions and deposit and cancellation policies will apply to your booking, and we advise you to read these carefully as they do contain important information about your booking. We will always provide the hotel’s deposit and cancellation policies prior to booking, which you must agree to in order to complete a booking.

Hotel Payment 

For your security, payments online are made through secure servers. For all Hotel bookings, Ripe will take a credit card number that is forwarded securely to the hotel to guarantee your booking.

Any advance deposits, additional fees or charges will always be clearly marked before you complete your booking. Once paid, these deposit payments, additional charges and fees may be non-refundable in the event of cancellation, as outlined within the hotel’s deposit and cancellation policies, which you must agree to at the time of booking.

Upon completing your booking, your reservation is immediately confirmed and a contract between you and the hotel will exist when we send you confirmation on their behalf. Please check your confirmation carefully and report any incorrect or incomplete information to us immediately. As we act only as booking agent, we have no responsibility for any errors in any documentation except where an error is made by us.

Your credit card information will be stored in our servers until a week after your completed booking, where it will be purged from our system.

All currency conversions are based on data from various publicly available sources and are only valid on the date of booking as a guideline. Payments are taken by hotels in the hotel’s local currency and may be subject to exchange-rate fluctuations (depending on the date charged) and charges from your bank or credit card issuer for which we have no liability.

Please note, any applicable VAT/taxes may be subject to change at any time.

Hotel’s Amendment & Cancellation Policy

If you wish to amend or cancel a confirmed booking, you must contact us or the hotel directly. If you choose to amend the booking, changes in rate may apply. You will be responsible for the new rate for the added or changed days. In all cases, once the booking is confirmed, you are subject to conditions of that hotel’s deposit and cancellation policies.

Hotel deposit and cancellation policies may outline a period before check-in when payments may be due prior to arrival, and cancellations may be subject to payment of a cancellation charge. Refer to the hotel’s deposit and cancellation policies prior to booking, as well as outlined in your confirmation email.

Any refunds, when applicable, will be made directly by the hotel, as the hotel is the Merchant of Record (MOR). At no time will Ripe charge your credit card.

Any changes to a booking that involve the addition of sequential nights to a stay will be considered an amendment to the original booking, regardless of whether the extra nights are booked by the person who made the original booking, or by another guest with whom they are staying.

Changes and Cancellations by the Hotel

We will inform you as soon as reasonably possible if the hotel needs to make a significant change to your confirmed booking or to cancel. We will also liaise between you and the hotel in relation to any alternative arrangements offered by the hotel but we will have no further liability to you. The Hotel maintains liability of honoring your booking and/or finding alternate accommodations of similar quality.

Accuracy of Hotel Prices & Descriptions

Ripe cannot be held liable for errors or omissions in bookings or pricing, either made by the hotel, or as a result of system failure of any kind. We reserve the right to amend advertised prices at any time. We also reserve the right to correct errors in both advertised and confirmed prices. You must check the price of your chosen arrangements at the time of booking.

We do our utmost to ensure all Ripe hotel information is accurate, however, hotel facilities may change at any time and any opinions expressed are subjective.

Our Responsibility for Your Hotel Booking 

Your contract is with the hotel and its terms and conditions apply. As agent, we accept no responsibility for the actual provision of the arrangements. Our responsibilities are limited to making the booking in accordance with your instructions. We accept no responsibility for any information about the arrangements that we pass on to you in good faith. However, in the event that we are found liable to you on any basis whatsoever, our maximum liability to you is limited to twice the cost of the commission we earn on your booking.

Our Exclusive Hotel Deals & Offers

Bookings for Ripe’s exclusive hotel offers or promotions are subject to the terms and conditions set by the hotel for its particular offer. All offers are on request and subject to availability which may change at any time. Offers may be subject to blackout dates which may be amended by the hotel at any time. Some hotels will require a deposit or full prepayment on booking, which may be non-refundable in case of cancellation. Any special terms will be stated on the booking and included in your confirmation. Hotel offers and promotions (and any applicable terms and conditions) are frequently added or amended, and will therefore only apply to completely new bookings. Reservations made before the start of the offer or promotion cannot be cancelled and rebooked at the lower rate.

Hotel Complaints 

Because the contract for your arrangements is between you and the hotel, any queries or concerns should be addressed to them. If you have a problem during your stay, this must be reported to the hotel immediately. If you fail to follow this procedure, there will be less opportunity for the hotel to investigate and rectify your complaint. The amount of compensation you may be entitled to may therefore be reduced or extinguished as a result.

If you still wish to complain when you return home, you can contact us and we will liaise between you and the hotel in order to try to resolve your complaint. Please note that we do this as part of our customer service to you and as a gesture of goodwill only. We do not accept responsibility for dealing with complaints, nor do we have any liability for refunds or compensation.

Any refunds, will applicable, will be made directly by the hotel, as the hotel is the Merchant of Record (MOR). At no time will Ripe charge your credit card.

Special Requests 

If you have any special requests (for example dietary requirements, cots or room location), please let us know at the time of booking. We will pass on all such requests to the supplier, but we can’t guarantee that they will be met and we will have no liability to you if they are not.

Accommodation Ratings and Standards 

All ratings are as provided by the relevant supplier and these may differ from the official ratings. These are intended to give a guide to the services and facilities you should expect from your accommodation. Standards and ratings may vary between countries, as well as between suppliers. We cannot guarantee the accuracy of any ratings given.

Your Behavior 

All guests staying at a hotel booked through us are expected to conduct themselves in an orderly and acceptable manner and not to disrupt the enjoyment of other guests. If in our opinion or in the opinion of any hotel manager or any other person in authority, your behavior or that of any member of your party is causing or is likely to cause distress, danger or annoyance to any of our other guests or any third party or damage to property, or to cause a delay or diversion to transportation, we reserve the right to terminate your booking arrangements with us immediately. In the event of such termination our liability to you and/or your party will cease and you and/or your party will be required to leave your accommodation or other service immediately. We will have no further obligations to you and/or your party. No refunds for lost accommodation or any other service will be made and we will not pay any expenses or costs incurred as a result of termination. You and/or your party may also be required to pay for loss and/or damage caused by your actions and we will hold you and each member of your party jointly and individually liable for any damage or losses caused by you or any member of your party. Full payment for any such damage or losses must be paid directly to the hotel manager or other supplier prior to departure from the hotel. If you fail to make payment, you will be responsible for meeting any claims (including legal costs) subsequently made against us as a result of your actions together with all costs we incur in pursuing any claim against you. We cannot be held responsible for the actions or behavior of other guests or individuals who have no connection with your booking arrangements or with us.

Ski Lift Ticket Booking Restrictions

If ski lift ticket bookings are available, all ski lift ticket purchases are final and cannot be canceled, refunded, or transferred to another person, even with a fee. Once you complete a purchase, your credit card will be charged for the amount shown by regardless of whether or not the purchased ticket(s) is/are used. If you purchase a product with a payment plan, you agree to let Liftopia save your credit card information in order to complete all subsequent payments. All tickets and passes are subject to the restrictions described in the product description and/or pickup instructions.

We do not guarantee weather or other conditions, open terrain or number of operating lifts and attractions.

Credit will not be given for any unused purchases and cannot be used toward any future Purchases.

Tickets are not delivered by mail. Once Liftopia confirms your p, we will provide you access to an electronic voucher. You must print the voucher and present it at the ticket office of the particular resort destination to claim your tickets. The purchaser whose name appears on the voucher must redeem the ticket(s) in person with a valid photo ID.

All prices and amounts shown on this Site are in U.S. Dollars (USD), unless otherwise noted. The user agrees that all taxes, charges, surcharges, shipping/handling or other fees will automatically be charged to the credit card submitted by the user. Such amounts will be posted on this Site. You agree that your credit card will be charged for the full cost of your purchase.

All Bookings

For all bookings, by making a booking, the first named person on the booking agrees on behalf of all persons detailed on the booking that:

A. He/she has read these terms and conditions and has the authority to and does agree to be bound by them;

B. He/she consents to our use of information in accordance with our Privacy Policy;

C. He/she is over 18 years of age

D. he/she accepts responsibility for payment of the arrangements on behalf of all persons detailed on the booking.

Copyright Notice

You acknowledge that all content included on this Site, including the information, data, software, photographs, graphs, video, typefaces, graphics, music, sounds, images, illustrations, maps, designs, icons, written and other material and compilations (collectively, “Content”) are intellectual property and copyrighted works of Ripe and/or various third-party providers (each a “Provider”), and is subject to the U.S. Copyright Act of 1976, Title 17 of the United States Code and equivalent laws in other jurisdictions.

Use Restriction

You may only use this Site to purchase the products/services offered by Ripe, and shall not use this Site to make any speculative, false or fraudulent Bookings. You may not use any automated means to access this Site, unless specifically permitted by Ripe. You represent that you are of sufficient legal age to create binding legal obligations for any liability you may incur as a result of your use of this Site. You agree to promptly update your membership information (if applicable) in order to keep it current, complete and accurate.

It is a violation of law to place a Booking in a false name or with an invalid credit card. Please be aware that even if you do not give us your real name, your Web browser transmits a unique Internet address to us that can be used by law enforcement officials to identify you. Fraudulent users will be prosecuted to the fullest extent of the law.

Permission is granted to electronically copy and print, in hard-copy, portions of this Site for the sole purpose of using this Site as a shopping resource. Any other use of materials or Content on this Site, including reproduction for a purpose other than that noted above without Ripe’s prior written consent is prohibited.

Ownership of the Site

The Site, all Content on the Site and software used to provide the Site and its services are and will remain the exclusive property of Ripe and its partners. Any feedback, comments, or suggestions you may provide regarding Ripe, or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

Limitation of Liability

To the fullest extent permitted by law, in no event shall Ripe —including its respective officers, directors, employees, representatives, affiliates or providers (collectively, the “covered parties”) —be liable for any injury, death, loss, claim, damage, act of god, accident, delay, or any special, exemplary, punitive, incidental or consequential damages of any kind, whether based in contract, tort or otherwise, which arise out of or are in any way connected with: (a) any use of this site or with any delay or inability to use this site, or for any information, software, products or services obtained through this site, or (b) any activities you participate in as a result of purchases made on the site, in each case even if a party has been advised of the possibility of such damages.

Force Majeure 

Except where otherwise expressly stated in these booking conditions we will not be liable or pay you compensation if our contractual obligations to you are affected by any event which we or the supplier(s) of the service(s) in question could not, even with all due care, foresee or avoid. These events can include, but are not limited to war, threat of war, civil strife terrorist activity and its consequences or the threat of such activity, riot, the act of any government or other national or local authority including port or river authorities, industrial dispute, lock closure, natural or nuclear disaster, fire, chemical or biological disaster and adverse weather, sea, ice and river conditions and all similar events outside our or the supplier(s) concerned control. Advice from the Foreign Office to avoid or leave a particular country may constitute Force Majeure.

Indemnification

You agree to defend, indemnify and hold harmless the Covered Parties from and against all claims and expenses, including attorneys’ fees and costs, arising out of your use of the Site and/or your breach or alleged breach of any term, condition, obligation, representation or warranty in these Terms and Conditions.

Links to Other Web Sites and Services

To the extent this Site contains links to outside services and resources, any concerns regarding such services or resources should be directed to the particular outside service or resource provider. None of the Covered Parties guarantees or warrants the accuracy or completeness of the information or content included on the Web sites of these outside services and resources. The outside services and resources are in no way related to Ripe and are neither its employees nor agents.

 Termination of Usage

User access to all or part of this Site may be terminated or suspended at any time, without notice and for any reason.

Governing Law

Any dispute or claim relating in any way to your use of the Site, or to any products or services sold or distributed by Ripe will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.

Lodging & Supplier Partner Terms & Conditions

These terms constitute a binding agreement between you and us surrounding the use of Ripe Inc.’s services and systems. By accepting bookings and using the CRS, you accept these Terms. If you do not wish to be bound by these Terms, do not use our services or systems (See Section 9B). We may revise these Terms at any time by amending the Terms on this page and will publish the updated version online from time to time. Please check the Portal regularly to take notice of any changes we may have made to these Terms.

  1. Definitions:
    1. “Accommodation(s)” refers to Supplier’s property(ies) available for Online Distribution.  
    2.  “Best Available Rate” is the lowest rate published on the internet for a specific Accommodation, on a specific date or date(s) available for booking, including the Supplier’s direct website.  
    3. Central Reservation System” or “CRS” is the proprietary Ripe application for managing and powering Client Sites to allow the Traveler to make lodging reservations.
    4. Extranet” is the administrative section of the CRS, accessed by the Supplier for managing inventory, rates, policies, Supplier room information, reservations, and receipt of Traveler payments.  
    5. Online Distribution” means that Ripe will utilize the internet to market, display, promote, and generate reservation transactions for the Supplier on a variety of websites (“Client Sites”).  
    6. Clients and/or Client Sites” are travel websites, apps, or platforms operated by affiliated companies or organizations that present the CRS-based reservation system to allow the Traveler to book lodging reservations.  
    7. Connectivity” refers to a third-party Application Programming Interface (API) chosen by the Supplier to connect and automate Supplier inventory, rates, and reservations to Ripe.  
    8. Gross Room Rental Revenue” shall mean the total amount of rental revenue received by the Supplier from the Traveler from rental of accommodations, excluding taxes and fees payable.  
    9. Commission” is the percentage of revenue due to Ripe, based on the total amount of room rental revenue received by the Supplier from the Traveler, excluding taxes and fees payable with respect to said rental.  
    10. Traveler(s)” is a person (or persons, depending on the Accommodation’s occupancy limitations) that books a room reservation on a Client Site.
    11. Ripe” means Ripe Inc. located at 650 South 500 West Suite 262, Salt Lake City, Utah 84101
  1. PROMOTION OF SUPPLIER
    1. Ripe will promote the Supplier and rent Accommodations of the Supplier to the Traveler through Ripe powered booking engines.  
    2. Ripe shall make accurate statements regarding the Supplier to the Traveler and shall not knowingly make any misrepresentations or omissions regarding the Supplier or services provided by the Supplier. Accuracy of all Supplier content, including descriptions, availability, rates, services, inventory, photos, videos, and rooms, is the sole responsibility of the Supplier. Inaccurate content must be corrected by the Supplier using the Extranet or by notifying Ripe via written correspondence.  
    3. The sort order of accommodations is subject to change at the discretion of Ripe and/or the client or affiliate.  
    4. Traveler information collected by Ripe on behalf of the Supplier shall be used solely for the purpose of facilitating and managing the Traveler’s booked trip. Neither the Supplier, Client, nor Ripe may use this information for solicitation or promotion of any services unrelated to the Traveler’s trip, unless explicitly authorized in writing by the Traveler. Any unauthorized use of Traveler information shall constitute a breach of this agreement and may result in applicable remedies under the law.
    5. Suppliers will provide content, availability and rates to be used by Ripe. If content, rates and availability are not available through direct channels, Ripe reserves the right to pull inventory through secondary channels where available. Ripe shall only use this provided information on authorized Client websites.  
  2. RATES AND PARITY
    1. The Supplier agrees to manage Supplier content, inventory, rates, policies, and descriptions through the Ripe CRS or other Connectivity, which will be accessible via a secure username and password.  
    2. The Supplier agrees to keep the CRS username and password information confidential and maintains responsibility for any security breach on behalf of Supplier employees. The Supplier will immediately notify Ripe of any suspected security issue.  The Supplier will immediately disable access to the CRS of users no longer employed by the Supplier.
    3. Per PCI compliance standards, CRS users will be required to change their password on a pre-determined interval.
    4. The Supplier will make available to Ripe room inventory and rates, ensuring that all inventory and rates are accurate at all times. Rate changes submitted by the Supplier through the CRS or any connectivity will be published live to Ripe websites.  
    5. Failure by the Supplier to offer the lowest rates and address rate parity issues may result in decreased sort order and, if not resolved, possible removal from the CRS.  
  3. 4) CONNECTIVITY
    1. The Supplier may provide rates and inventory and receive reservations via CRS or through an established Connectivity API, such as, but not limited to, TravelClick/iHotelier, SiteMinder, Escapia, Inntopia, Expedia Partner Solutions, Sabre GDS, Streamline, Track HS, or other future Connectivity API. Regardless of the connectivity selected, the terms of this Agreement remain the same.  
  4. CRS EXTRANET RESERVATION PROCESS
    1. Upon reservation delivery, the Traveler will receive immediate confirmation via email from the Ripe system. Simultaneously, the reservation will be reported to the email address(es) provided by the Supplier in the CRS.  
    2. The Supplier will confirm receipt of all reservations by entering the Supplier’s confirmation number into the Extranet at earliest opportunity within no longer than 24 hours of the lodging transaction.  
    3. Upon reservation delivery, a direct relationship is created between the Supplier and the Traveler; the Supplier will make the best effort to accommodate the reservation in compliance with the Supplier information listed in the CRS at the time of booking.  
    4.  In the event that the Supplier is unable to provide the rooms booked by the Traveler, the Supplier will use best efforts to relocate the Traveler within Supplier inventory OR procure alternate rooms of similar or better quality within the local surrounding area.  
    5. Ripe is not responsible for no-shows, late arrivals, and early departures.  Policies and penalties are communicated at the time of booking.  Any penalties incurred will be settled between the Traveler and the Supplier.
  5. PAYMENT
    1. Lodging payment will be provided to the Supplier in the form of the travelers original payment method. This is encrypted and passed to the lodging provider via the connectivity API connection or directly through the Ripe CRS depending on the reservation and connection type. 
    2. Ripe is not the merchant of record on any lodging transaction. The Supplier will be responsible for collecting payment from the Traveler directly on all reservations.  
    3. Ripe is not responsible if the Supplier fails to collect payment from the Traveler for any reason.  
    4. The Supplier maintains full responsibility for the security of cardholder data within its possession upon retrieval of cardholder data from the Ripe CRS. Furthermore, the Supplier agrees to comply, on an ongoing basis, with all Payment Card Industry (PCI) Data Security Standards.  
  6. THE TRAVELER SERVICE
    1. The Supplier will address all Traveler issues, including complaints, room expectations, damages, injuries, and Supplier loss, and shall respond accordingly.  
    2. Ripe may invite the Traveler who has booked a reservation and stayed with a Supplier to rate and review their stay.  
    3. The Traveler ratings and reviews may be posted on Ripe websites. The Supplier acknowledges that ratings and reviews will be written by the Traveler only and that Ripe facilitates the ability for review.  Other 3rd party reviews may also be displayed.
    4. The Supplier agrees to release Ripe from liability and responsibility for the Traveler review content and further releases Ripe from any claims or liabilities resulting from a Traveler review.  
    5. Ripe reserves the right to remove Traveler reviews.  
  1. COMMISSION AND PAYMENTS
    1. Commission Rate: The commission rate is determined between Ripe and the Client and will be set accordingly in the CRS or you may indicate agreed commission through the connectivity partner.  Additional promotions, merchandising, placement or participation in special programs may be negotiated for additional commission or fees.  Commissions are not to exceed twenty percent (20%) unless participation in a special program has been agreed upon by all parties for an additional % or fee.
    2. Commission Statement Schedule: Commission statements will be processed and distributed on a monthly basis. Invoices for bookings completed in a given month will be disbursed by the 15th of the following month.
    3. Reconciliation & Canceled Bookings: Statements for bookings will be issued on the 1st of every month for reservations with departures during the previous month. Property will  have until the 9th of the month to review bookings and respond with any changes or cancellations. Invoices are sent on the 10th of the month. Invoices are final and cannot be changed.  If payments were made in error on non-commissionable bookings, Ripe will refund any fee collected within 365 days of completed booking.  Refunds are not eligible after 366 days of guest departure.
    4. Past Due Definition: A commission payment will be considered past due if it has not been received by the travel agent within 30 days of the scheduled payment date.
    5. Notification of Past Due Commissions: Supplier will be notified via email if their commission payment is past due. 
    6. Grace Period: A grace period of 14 days will be allowed from the date of the past due notification. During this time, Suppliers are encouraged to reach out to the accounting department to resolve any discrepancies.
    7. Late Fees:  If payment is not resolved within 60 days from the initial due date, a late fee of 5% of the total commission due will be applied for each month the payment remains unpaid.
    8. Non-Commissionable Rate: Many Clients have chosen to participate in our Partner Growth Model in which they pay a monthly fee that allows their Member Suppliers the ability to sell on their site free of commission.
  2. TERM
    1. The term (“Term”) of this Agreement shall commence upon initiation of Client contract and connection of Supplier’s source of inventory and continues until the Client cancels their subscription, unless terminated by either Party through written notification.  
    2. In the event that the Supplier or Ripe chooses to terminate the relationship for any reason, either Party can terminate this Agreement with 30 days written notice. The Supplier remains responsible for honoring outstanding reservations booked prior to termination notification and is monetarily responsible for Commissions due on all outstanding reservations.  
    3. In the event of termination, the terms and provisions of this Agreement shall continue to be binding upon both Parties until all outstanding obligations have been met.  
    4. All terms within this Agreement shall be binding upon the Parties, their successors, and assigns.  
  3. NOTICE
    1. These Terms of Use shall be governed by the laws of the State of Utah, without regard to principles of conflicts of law.
    2. All notices required or permitted to be made under this Agreement shall be in writing and shall be deemed duly given when delivered or sent by prepaid certified or registered mail or electronically via email:

  3. LEGALITY
    1. In any suit or action brought to enforce any of the promises or agreements in this Agreement, the prevailing Party shall be entitled to recover reasonable attorneys’ fees in addition to the costs and expenses
